1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and AuraPortfolio S.L., a company registered in Spain ("AuraPortfolio," "we," "us," or "our"). By accessing or using our website at auraportfolio.com and associated services (the "Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law. By using the Platform, you represent that you meet these requirements. The Platform is not available in jurisdictions where its use would be prohibited by law.

3. Description of Services

AuraPortfolio provides automated onchain portfolio management tools that allow users to create, configure, and automate portfolio strategies on supported blockchain networks. The Platform operates on a non-custodial basis — we never take custody of your funds or digital assets. All transactions are executed onchain through smart contracts.

4. Non-Custodial Nature

AuraPortfolio is a non-custodial protocol. You retain full ownership and control of your digital assets at all times. We do not hold, manage, or have access to your private keys, seed phrases, or funds. You are solely responsible for safeguarding your wallet credentials.

5. Risks

By using the Platform, you acknowledge and accept the following risks:
  • Smart contract risk — Despite audits, smart contracts may contain vulnerabilities that could result in loss of funds
  • Market risk — Digital assets are highly volatile; the value of your portfolio may decrease significantly
  • Protocol risk — Underlying DeFi protocols integrated by AuraPortfolio may experience failures, exploits, or governance attacks
  • Blockchain risk — Network congestion, forks, or downtime on supported chains may affect transactions
  • Regulatory risk — Changes in laws or regulations may affect the availability or legality of the Platform in your jurisdiction

AuraPortfolio does not provide investment, financial, tax, or legal advice. Automated strategies are tools — not recommendations. You are solely responsible for your investment decisions.

6. User Responsibilities

  • You are responsible for maintaining the security of your wallet and private keys
  • You will not use the Platform for money laundering, terrorism financing, or other illegal activities
  • You will comply with all applicable laws in your jurisdiction
  • You will not attempt to exploit, hack, or interfere with the Platform or its smart contracts
  • You acknowledge that blockchain transactions are irreversible

7. Session Keys and Authorization

The Platform uses session keys to authorize specific actions on your behalf (e.g., rebalancing). Session keys are limited in scope, time-bound, and revocable by you at any time. You understand that granting session key authorization permits the Platform to execute approved onchain actions without requiring individual transaction signing.

8. Fees

AuraPortfolio may charge fees for certain services. All applicable fees will be clearly disclosed before you authorize any transaction. Network gas fees are paid to blockchain validators and are not controlled by AuraPortfolio. Where gas sponsorship is available, this is provided at our discretion and may be modified or discontinued.

9. Intellectual Property

All content, branding, software, and materials on the Platform are owned by AuraPortfolio S.L. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. Open-source components are subject to their respective licenses.

10. Limitation of Liability

To the maximum extent permitted by law, AuraPortfolio S.L. and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, funds, or digital assets, arising from your use of the Platform. Our total liability shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from vulnerabilities. Past performance of any strategy does not guarantee future results.

12. Indemnification

You agree to indemnify and hold harmless AuraPortfolio S.L., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use after changes constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Platform at our discretion if you violate these Terms or if required by law. Termination does not affect your ownership of assets held in your own wallet.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any disputes arising from or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Spain, without prejudice to any mandatory consumer protection provisions applicable in your jurisdiction under EU law.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
